Terms and Conditions

Online Proxy Voting service is provided by the Bank subject to these Terms and Conditions, the Terms and Conditions for HSBC Internet Banking and the Integrated Account Terms and Conditions.In the event of any inconsistency, these Terms and Conditions shall prevail.

Online Proxy Voting service is only available to users of HSBC Internet Banking who submit proxy voting instruction(s) ("Voters") via designated platform within HSBC Internet Banking (the "Online Voting Platform").

If a Voter holds more than one investment accounts with the Bank, the Voter must submit one Instruction for each investment account if he/she wishes to cast vote for his/her holdings of the relevant stock in multiple investment accounts. The Bank will not apply an Instruction submitted by a Voter in respect of one investment account to all other investment account(s)held by the same Voter. An Instruction submitted for an investment account will apply to all of the Voter's holdings of the relevant stock in such investment account.

The Bank will only accept and process one Instruction submitted via the Online Voting Platform for each investment account and will disregard any Instruction(s) submitted via any other channel(s). If the Bank has received duplicated Instructions in respect of any investment account, whether submitted via the Online Voting Platform or any other channel, the Bank has the absolute discretion to process only the last Instruction submitted via the Online Voting Platform or not to process any of the Instructions received at all.

Instruction once submitted cannot be cancelled. Amendment of submitted Instruction can only be made via the Online Voting Platform before such voting deadline as specified by the Bank. 

Proxy voting submission (based on a valid Instruction from the Voter) will be made by the Bank based on the latest available stock holdings in the relevant investment account at market close of the record date as specified by the Bank.
